Terms of Service
Last updated: October 22, 2026
These terms govern your use of RepoMemory (“the Service”), an API service operated by Plexsicity (“we”, “us”). By creating an account or calling the API you agree to these terms.
1. The Service
The Service keeps a shared ledger for each of your projects: decisions, lessons, guardrails, notes and tasks that you or your AI agents record, recall, claim and retire, through its REST API or its MCP endpoint. We may improve or change the Service over time; material changes to paid functionality will be announced in advance where practical.
2. Accounts & API keys
You must be at least 18 years old, or the age of majority where you live if that is higher, and able to enter a binding contract to use the Service. If you use it for a company or other organisation, you confirm you may accept these terms on its behalf.
You are responsible for activity performed with your account and API keys. Keep keys confidential — any request made with your key counts against your plan. Revoke a key immediately if you believe it has leaked.
3. Acceptable use
You agree not to use the Service to:
- send, generate, or distribute content that is illegal, infringes others’ intellectual-property or privacy rights, or that you otherwise have no right to process;
- point webhooks at servers you aren’t allowed to send requests to, or use them to flood or disrupt anyone’s systems;
- probe or attack internal networks, or attempt to circumvent rate limits, quotas, or the Service’s security measures;
- record passwords, API keys, access tokens or other secrets in the ledger, or other people’s personal data that you have no right to share with your team;
- store or distribute malware, or use the ledger to pass instructions meant to make other people’s agents act against their users;
- call the API or the MCP endpoint in ways meant to get around your plan, such as spreading one account’s work over several free accounts;
- resell raw access to the Service without our written consent.
We may throttle, suspend, or terminate accounts that violate this section.
4. Plans, billing & cancellation
Paid plans are billed monthly through Stripe. Plan changes are self-serve on the dashboard’s Billing page, and cancellation through Manage billing on that page (the Stripe billing portal); cancellation stops future charges and your plan remains active until the end of the paid period. Your quota is measured over your billing period — for paid plans your Stripe billing cycle, and for the free plan the calendar month (UTC) — and resets at the start of each period; unused quota does not roll over. A plan change partway through a period is prorated by time, both the price and the period’s quota, and a smaller plan is refused while the period has used more than it would allow. What each operation costs is listed on the pricing page and in the docs. Fees are non-refundable except where required by law.
5. Your content
You retain your rights to the content you send and receive, including the ledger entries you or your agents record. The Service stores those entries so your keys can recall them: they are visible only to your account and its team, kept until you delete them on the dashboard’s Ledger page or through the API, or delete your account, and never used to train models. Retiring an entry hides it from recall but does not delete it; deleting it removes it, apart from backup copies that expire within 14 days. You can export a project’s entries at any time. You grant us the limited right to store and process your content on your behalf to provide the Service, and to keep the request summaries described in our Privacy Policy. Don’t record secrets such as passwords or API keys in the ledger: anyone on your team can recall them. If one is recorded, delete the entry and rotate the secret. Each entry records which API key or person wrote it.
6. Availability
The Service is provided on a best-effort basis without an uptime guarantee. We work to keep it fast and available, but you should build retries and fallbacks into anything critical.
7. Disclaimer & limitation of liability
The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve months before the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
You may stop using the Service at any time: cancel a paid plan from the Billing page, and email [email protected] to have your account deleted. We may suspend or terminate accounts that violate these terms or create risk for the Service or other users.
9. Changes to these terms
We may update these terms from time to time. Material changes will be posted here with a new “last updated” date; continued use of the Service after a change constitutes acceptance.
10. Governing law
These terms are governed by the laws of Queensland, Australia, and you and we submit to the non-exclusive jurisdiction of its courts. Nothing in these terms excludes, restricts or changes any right you have under the Australian Consumer Law, or under other consumer protection law that applies to you and can’t be excluded by contract.
